Professor Beth Miller Elected to The American Law Institute

Professor Elizabeth S. Miller, a 15-year member of the Baylor Law School faculty, has been elected to membership in the prestigious American Law Institute.

Election to The American Law Institute is highly exclusive with membership limited to only 3,000 of the more than 750,000 lawyers nationwide. Prospective members are considered on the basis of exemplary professional achievement and a demonstrated interest in the improvement of law.

A 1985 Baylor Law School graduate, Miller was honored as an Outstanding Baylor Professor during the University's annual Spring Commencement ceremony on May 13 this year.

Miller is a nationally recognized expert on the law of limited liability companies and limited liability partnerships. Lawyers nationwide rely on the case law updates she prepares for American Bar Association publications and programs, and she frequently speaks on topics involving corporate, partnership and limited liability company law at continuing legal education programs. She currently serves as the reporter for the revision of the American Bar Association's Prototype Limited Liability Company Act, and she was among the principal drafters of the ABA's Prototype Limited Liability Partnership Act and Prototype Limited Liability Partnership Agreement.

She is the co-author of a three-volume treatise on Texas business organizations law published by Thomson/West (Vols. 19, 20 and 20A, Business Organizations, Texas Practice Series). Miller holds leadership positions in the Business Law Section of the State Bar of Texas as well as the American Bar Association Business Law Section. She is chair of the Texas Partnership and Limited Liability Company Law Committee as well as the ABA Partnerships and Unincorporated Business Organizations Committee.

Miller was in private practice for six years before she returned to Baylor Law School to join the faculty in 1991. While in practice, she represented banks and bank holding companies, as well as other privately and publicly held companies, in a variety of matters, including formations, reorganizations and acquisitions.

She graduated from Baylor Law School with highest honors and was first in her graduating class. Upon graduation, she received the highest score in the State of Texas on the July 1985 bar examination. While at Baylor Law School, she was Editor in Chief of the Baylor Law Review and the recipient of numerous academic awards. She received her B.A. from Baylor University in 1982, summa cum laude.

Miller teaches Business Organizations I, Business Organizations II, Business Planning, the Business Planning Capstone and White Collar Crime.
