Professor of Law and M. Stephen and Alyce A. Beard Chair in Business and Transactional Law

Professor Miller is the foremost authority on Texas business organizations law as well as a nationally recognized expert on the law of limited liability companies and limited liability partnerships, two very popular, but relatively new, forms of unincorporated business entities. She frequently speaks on topics involving corporate, partnership and limited liability company law at continuing legal education programs in Texas and across the country.

Professor Miller has been involved in the drafting of legislation affecting Texas business organizations for many years and has served in an advisory or membership capacity on the drafting committees for numerous prototype, model, and uniform statutes and agreements relating to unincorporated business organizations. She currently serves on the Editorial Board of the LLCs, Partnerships and Unincorporated Entities Committee of the ABA Business Law Section, as well as the Editorial Board of the Revised Prototype Limited Liability Company Act subcommittee, and she was among the principal drafters of the ABA's Prototype Limited Liability Partnership Act and Prototype Limited Liability Partnership Agreement. She is the co-author of a three-volume treatise on Texas business organizations law published by Thomson/West (Vols. 19, 20 and 20A, Business Organizations, Texas Practice Series) as well as a one-volume handbook on Texas business organizations (Vol. 13, Texas Methods of Practice, Texas Practice Series).

Professor Miller has held leadership positions in the Business Law Section of the State Bar of Texas as well as the American Bar Association Business Law Section. She has served as Chair of the LLCs, Partnerships and Unincorporated Entities Committee of the ABA Business Law Section as well as Chair of the Business Law Section of the State Bar of Texas and Chair of the Texas Partnership and Limited Liability Company Law Committee. She received the 2011 Jean Allard "Glass Cutter" Award presented by the Business Law Section of the American Bar Association and the 2013 Martin I. Lubaroff Award presented by the LLCs, Partnerships and Unincorporated Entities Committee of the ABA Business Law Section. Professor Miller is an elected member of the American Law Institute, the American Bar Foundation, and the Texas Bar Foundation.

Professor Miller was in private practice for six years before she returned to Baylor Law to join the faculty in 1991. While in practice, she represented banks and bank holding companies, as well as other privately and publicly held companies, in a variety of matters, including formations, reorganizations and acquisitions. She received her J.D. from Baylor Law with highest honors and ranked first in her class. Upon graduation, she received the highest score in the State of Texas on the July 1985 bar examination. While at Baylor Law, she was Editor in Chief of the Baylor Law Review and the recipient of numerous academic awards. She received her B.A. from Baylor University in 1982, summa cum laude. Professor Miller and her husband Gary have two sons, Thomas (Baylor B.B.A. 2011, M.S.I.S. 2013) and David (Baylor B.A 2015, University of Iowa College of Law J.D. 2018).
